1. Acceptance of Terms

By accessing or using Frame ("Service"), operated by Frame Inc. ("we," "us," or "our") at useframe.co and app.useframe.co, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and organizations ("Users") who access the Service. By creating an account or using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Frame is an AI-powered platform that transforms natural language prompts into structured Markdown documents. The Service includes:

  • AI-powered prompt transformation using third-party models (Claude by Anthropic and Gemini by Google)
  • Project organization and management
  • Version history and prompt tracking
  • Team collaboration with role-based access control
  • Social interactions (comments, reactions)
  • Community prompt marketplace
  • Usage analytics and audit logging

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current and accurate

Organizations may create accounts with multiple users. The organization owner is responsible for managing user access, roles (Owner, Admin, Editor, Viewer), and ensuring all users comply with these Terms.

4. Subscription and Billing

Frame offers multiple subscription tiers:

  • Free — $0/month with limits on users (3), projects (2), and prompts per project (50)
  • Pro — $19/user/month with expanded limits and priority AI processing
  • Business — $49/user/month with audit logging, marketplace access, and priority support
  • Enterprise — Custom pricing with unlimited resources, SSO/SAML, and SLA guarantees

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We may change pricing with 30 days' notice to affected users.

If payment fails, we may suspend access to paid features until the outstanding balance is resolved. Free tier features will remain accessible during any billing dispute.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, store, or distribute harmful, abusive, defamatory, or illegal content
  • Attempt to reverse engineer, decompile, or extract the source code of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent usage limits, rate limiting, or access controls
  • Use automated systems to scrape, mine, or extract data from the Service
  • Impersonate another person or entity
  • Upload or transmit malware, viruses, or malicious code

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including terminating their account.

6. Intellectual Property

The Service, including its design, features, code, documentation, and brand assets, is owned by Frame Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written consent.

The Frame name, logo, and all related marks are trademarks of Frame Inc. You may not use these marks without prior written permission.

7. User Content

Your content: You retain ownership of all prompts, text, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service.

AI-generated output: The structured Markdown and other outputs generated by AI models based on your prompts are considered derivative works of your User Content. You retain rights to the generated output, subject to the terms of the underlying AI model providers (Anthropic and Google).

Marketplace content: When you publish prompts to the public marketplace, you grant other users a non-exclusive license to view, fork, and use those prompts within the Service. You may remove marketplace content at any time, which will revoke this license for future use.

Responsibility: You are solely responsible for your User Content and the outputs generated from it. Frame does not endorse, verify, or guarantee the accuracy of AI-generated content.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination:

  • Your access to the Service will cease immediately
  • We will retain your data for 30 days to allow for recovery, then permanently delete it
  • Any prepaid fees for the remaining subscription period are non-refundable

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in conduct that we determine is harmful to the Service, other users, or our business interests.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Frame Inc. and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

  • Your use of or inability to use the Service
  • Any AI-generated content or its accuracy
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • AI-generated content will be accurate, complete, or suitable for any particular purpose
  • The Service will meet your specific requirements
  • Any defects in the Service will be corrected

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
